Principle 13: Internal Audit
TheGroupoutsources its internalauditfunctiontoRSMEthosPteLtd,afirmspecialising ingovernance,riskandconsulting.
TheAC issatisfied that the internal auditorshavemet thestandardssetby internationally recognisedprofessionalbodies
including theStandards for theProfessional Practiceof InternalAuditingof the Instituteof InternalAuditors.
The internal auditors report directly to theAC. TheAC reviews the internal audit reports and followup actions and
theeffectivenessof theGroup’s internal audit functionannually. TheACalso reviewsandapproves the internal audit
plan. TheAC is of the view that the internal audit function is adequately resourced toperform its functions andhas,
to thebest of its ability,maintained its independence from the activities that it audits.
SHAREHOLDERSRIGHTSANDRESPONSIBILITIES
Principle 14: Shareholder Rights
TheGroup recognises the importanceofmaintaining transparencyandaccountability to itsshareholders. TheBoard
ensures that all theCompany’s shareholders are treated fairly andequitably and the rightsof all investors, including
non-controlling shareholders areprotected.
Shareholders are informed of any changes in the Group’s business that are likely tomaterially affect the value of the
Company’sshares.
The Group ensures that shareholders have the opportunity to participate effectively in and vote at general
meetings. The link to SGX-ST’s investor guides “An Investor’s Guide to Preparing for Annual General Meetings”
and“An Investor’sGuide toReadingAnnual Reports”hasbeen includedon theCompany’swebsiteunder “Investor
Relations”with the aimof providing further assistance to shareholders in their investment activities.
TheCompany’s Articles of Association currently do not allow investors who hold shares through nominees such as
CPF and custodianbanks to appointmore than twoproxies to vote at generalmeetings.
Principle 15: CommunicationwithShareholders
TheCompany is committed toengaging its shareholders and the investing community andprovidingpertinent and
accurate information about theCompany in an effective, fair and timelymanner. TheCompany has put inplace an
Investor Relations Policy that promotes this.
TheCompanydoesnotpractice selectivedisclosure.Allmaterial information includingquarterly resultsannouncements,
are disclosed regularly and in a timely manner via SGXNet and the Company’s website. The Chairman of the Board,
Mr LimHoSeng spearheads the Investor Relations teamwhich comprise theExecutiveDirectors andKMPs. In addition,
Managementholdsbriefingswithanalysts tocoincidewith the releaseof theGroup’shalfyearlyandannualfinancial results
topromotebetter appreciationof theGroup’sperformanceanddevelopments.Management also takesanactive role in
communicationswithshareholdersandthe investingcommunity,throughface-to-facemeetingsandemailcommunications
toaddress theirqueriesor concernsand toupdate themon the latest corporatedevelopments.
