GENERALMEETING
NOTICE IS HEREBY GIVEN that the Annual General Meeting of Baker Technology Limited (the “Company”) will
be held at NUSS Kent Ridge Guild House, 9 Kent Ridge Drive, Singapore 119241 on Thursday, 25 April 2013 at
10.00 a.m. to transact the following business:
ASORDINARY BUSINESS
1.
To receive and adopt the Directors’ Report and the Audited Financial Statements of the Company for the year
ended 31December 2012 together with the Auditors’ Report thereon.
(Resolution 1)
2. To declare a first and final tax exempt (one-tier) dividend of 1.5 cents per ordinary share and a special tax
exempt (one-tier) dividend of 8.5 cents per ordinary share for the year ended 31December 2012.

3. To re-elect Mr LimHo Seng, who retires by rotation pursuant to Article 104 of the Articles of Association of the
Company.

To transact any other ordinary business that may properly be transacted at an Annual General Meeting.

8. To consider and if thought fit, to pass with or without modifications, the following resolution as an Ordinary
Resolution:
“That pursuant to Section 161 of the Companies Act, Cap. 50 and the listing rules of the Singapore Exchange
Securities Trading Limited (the “SGX-ST”), authority be and is hereby given to the Directors of theCompany to:
