andBoardCommittees. They are
encouraged toconstructively
challenge andhelpdevelop
proposals on strategy and review
theperformanceofManagement
inmeeting agreedgoals and
objectives andmonitor the
reportingof performance. To
facilitate amoreeffectivecheckon
Management, they areencouraged
tomeet regularlywithout the
presenceofManagement. In
addition, they are free to request
further clarification andhave
independent access toour Senior
Management. If necessary, Non-
ExecutiveDirectors, including
Independent Directors,may initiate
meetings to address any specific
matter involving anyothermember
of ourManagement.

Officer
There is a clear separationof
roles and responsibilities of the
Chairman andChief Executive
Officer (“CEO”). TheChairmanof
theBoard isMr LimHo Seng.
Hehas no familial relationship
with theCEOof theCompany.
TheChairmanprovides leadership
to theBoard. He sets themeeting
agenda inconsultationwith the
CEO andensures that Directors
areprovidedwith accurate, timely
andclear information, promotes
a cultureof openness anddebate
at theBoard aswell as toensure
effectivecommunicationwith
the shareholders. In addition,
theChairmanencourages
constructive relationswithin the
Board andbetween theBoard
andManagement to facilitate the
effectivecontributionof Non-
ExecutiveDirectors inparticular in
order topromotehigh standards
