Delegationof Authority to
BoardCommittees
TheBoard is supportedby three
BoardCommittees, namely the
Audit Committee (“AC”), the

BoardCommittees and all the
terms of reference for theBoard

BoardProcesses

meetings are held regularly,

than4 times a year. To facilitate
Director’s attendance atmeetings,
the dates of Board andBoard
Committeemeetings aswell
as annual generalmeetings are
scheduled in advance. Ad-hoc
Board andBoardCommittee
meetings are arranged as and
when circumstances require. The
Company’sConstitutionprovides
for the conveningof theBoard
andBoardCommitteemeetings
byway of telephonic, video
conferencingor other similar
means of communication.
