salaries, allowances, bonuses,
options, share-based incentives
andawards andbenefits inkind
of theExecutiveDirectors and
keymanagement personnel; and
toensure that the framework is
competitiveand sufficient toattract,
retainandmotivate theDirectors to
providegood stewardshipof
theCompanyand thekey
management personnel to
successfullymanage theCompany.

Directors is involved indeliberations
in respect of any remuneration,
compensationor any formof
benefit tobegranted tohim/
her. For FY2017, no remuneration
consultantwas appointed to review
theDirectors’ remuneration.
TheRC reviews theCompany’s
obligations under the service
agreements of theExecutive
Directors and keymanagement
personnel thatwould arise in the
eventof terminationof these service
agreements toensure that such
service agreements contain fair and
reasonable terminationclauses.
